NAME AND GENERAL PURPOSE OF
CLUB
Section 1. Name. The name of this club, as provided in its
Articles of Incorporation heretofore filed with Secretary of State of the State
of Alaska, shall be Fairbanks Corvette Club.
Section 2. Purpose. The general purposes of the Club shall be to
promote the safe use, enjoyment, and preservation of the Chevrolet Corvette; to
encourage planned trips, events and social activities for members; and to
provide and regulate events and exhibitions for Corvette enthusiasts.
Section 1. Members. Membership in the club shall be open to
owners of Corvettes and the family thereof interested in the purpose of the
club.
Section 2. Classes
of Membership.
A.
Active. Any Corvette owner having paid such dues and
fees as required.
B.
Associate. Any individual not owning a
Corvette having paid such dues and fees as required. Said membership shall be for a period of six (6) months and shall
be renewable upon agreement by the general membership.
C.
Visitor. Any member in good standing
of any other Corvette Club may attend meetings and participate in activities
based on said membership.
D.
Absentee. Any member who will soon be
leaving town or has already moved and wishes to continue receiving monthly
newsletter.
Section 3. Guest
Policy. Any non-member is allowed
to attend no more than two (2) organizational meetings before becoming a
member.
MEETINGS
Section 1. Election
of Officers. Nomination of officers
for the upcoming year will take place at the November monthly meeting. Ballots will be sent out to all members with
the December newsletter. Ballots will
be returned either by mail or in person no later than the December
meeting. At that meeting, the ballots
will be counted and the new officers will be installed immediately.
Section 2. Monthly
Meetings. Regular monthly meetings
shall be held on a day and a time convenient to the majority of the voting
members.
Section 3. Officers
Meetings. The officers may meet at
any selected time to discuss business not of general interest to the membership
at large or to formulate presentations to be made at the regular monthly
meetings.
Section 4. Special
Meetings. In additions to any
provisions of the law, special meetings of the members may be called by the
President or by a majority of the elected officers.
Section 5. Quorum. At all stated meetings if the members, one
third (1/3) of the members shall constitute a quorum.
Section 6. Voting. All items brought before the membership for
a vote at monthly or special meetings, except amendments to the By-Laws, shall
be passed by a simple majority of members present and voting. Each paid-up membership shall have the right
to cast one (1) vote per membership regardless of how many family members or
cars that member is associated with.
Section 7. Absentee
Balloting. Absentee balloting is
permitted by written vote mailed to the club address and received before the
specified time.
OFFICES
Section 1. Officers.
A.
Elected Officers. Elected officers shall
consist of President, Vice President, Secretary, Treasurer, Public Relations,
and Editor.
B.
Appointment Officers. In the
event of any of the elected officers shall resign or become unable to complete
his/her elected term of office, the President, with the approval of a majority
of the other elected officers, shall appoint a member to fill the vacancy of
said term.
C.
Committees. Selected committee
chairpersons shall be those individuals selected to head committees, at the
discretion of the officers.
D.
Ex-Officio Office. Appointed office by the
President with the approval of a majority of Elected Officers.
Section 2. Board
of Directors. The Board of
Directors shall consist of the above mentioned elected officers, a
representative of the organizations sponsors, and the Ex-Officio Officer(s).
Section 3. Terms
of Office.
A.
Elected Officers. Elected Officers mentioned
above shall serve two (2) years term of office.
B.
Committee Chairperson. Committee
Chairpersons shall serve one (1) year as head of a committee, or until that
committee has served its purpose, whichever is shorter.
C.
Appointed Officers. Appointed Officers shall
serve the length of the unfilled term of which he/she is appointed.
D.
Ex-Officio Officers. Ex-Officio Officers shall
serve one (1) year term of office.
DUTIES OF OFFICERS
Section 1. Duties
of Elected Officers.
A.
President. The President shall preside
at all meetings and shall perform the duties pertaining to this office. He/she may call special meetings for members
under the provision of Article III.
B.
Vice-President. In the absence of the President or in case
of his/her death, resignation, or inability to act, the Vice-President shall
perform the duties usually appertaining to that office. He/she shall act as liaison between this
organization and other organizations.
C.
Secretary. The Secretary shall attend
all meetings of the members and directors and shall record all minutes and
votes in a book kept for this purpose.
He/she shall keep an up-to-date role of all club members; shall give all
notices of meetings the members required by laws or these By-Laws and shall
perform all duties incident to this office, required by law or by the majority
vote of the officers; and shall have custody of the club’s records. In the absence of the Secretary from any of
the said meetings, a Secretary pro tempore shall be chose by the presiding
officer; shall receive all applications for membership and submit same to the
Officers for action and shall receive and answer all correspondence of the
organization all of which shall be available for inspection at the next regular
meeting.
D.
Treasurer. The Treasurer shall, subject
to such conditions and restrictions may be made by the Officers, have custody
of all monies, debts, and obligations belonging to the organization. He/she shall receive all monies of the
organization and shall deposit it in the organization account. He/she shall make all payments of organization
debts upon approval of the President or Vice President. The President or Vice President shall sign
said document beneath the signature of the Treasurer to indicate approval. Treasurer shall give bond, at organization
expense, if required by the Officers.
The Treasurer shall give a report on the financial status of the
Organization at the Annual meeting and the monthly meetings, and if so
requested, at any other meeting of the Officers. The Treasurer without the specific prior approval of the Officers
shall incur no obligation, debt, or other liability.
E.
Public Relations. Shall determine what events
are in the area by contacting car clubs, community organization, schools, radio
stations, newspapers, and Chamber of Commerce with the area not exceeding a 60-mile
radius. He/she shall be responsible for
all club publicity including flyers and newsletters in conjunction with
agreement by officers and club members.
F.
Editor. Compiles, prints, and distributes
newsletters and any special mailings.
COMMITTEES
Section 1. Appointment
of Committees. The officers shall
appoint such committees as they find desirable to further the purpose for the
organization and shall outline the duties and responsibilities of such
committees. All reports from or actions
taken by a committee must be voted on and approved by the club.
Section 2. Activities. The activities of the organization shall
consist of planned trips, social gatherings, and events for members and shall
be organized and coordinated by the appropriate chairperson.
Section 3. Displaying
Name. The organization’s name shall
be prominently displayed at all events and activities that the organization
participates in, along with the name of the sponsors.
Section 1. Active
Members. The dues for active
members shall be $24.00 per year. The
$24.00 dues will be regardless of any additional family members.
Section 2. Associate
Members. The dues for associate
members shall be $3.00 per month for a maximum of six (6) months.
Section 3. Absentee
Members. The dues for absentee
members shall be $15.00 per year.
Section 4. Payment
of Dues. Active and Absentee
members will pay dues on an annual basis (January 31st of the
current calendar year). Associate
members will pay dues during the month they join as an associate member.
A.
Dues
become delinquent when not paid on or before the April monthly meeting.
B.
Any
member whose dues become delinquent will be automatically dropped from the
club. (Any such former member must
reapply as a new member).
C.
Dues
are non-refundable.
D.
Dues
must be paid prior to elections in order for members to vote or run for an
office.
EXPULSION
Any member may be expelled in the best interest of the club. Final determination shall be made by vote, according to the same procedures as amended in the By-Laws. However, before such action is taken, the member shall have an opportunity to submit in writing or in person his/her position on any charge of which he/she has been notified.
RESIGNATION
Any member may resign by directing a letter of resignation to the Secretary. The resignation shall be effective on receipt, providing all indebtedness to the Club is paid.
PRIVELEGES
Active members are entitled to all organization privileges, Associate members are entitled to all organization privileges except the right to hold elected office or vote on amendments to the By-Laws. Families of members, visitors or guests are entitled to all organization privileges, except that they shall not hold elected or appointed office, by a chair person, vote, or function in any other responsible capacity.
These By-Laws may be amended at any meeting of the membership of the organization by an affirmative vote of two thirds (2/3) of the members present and voting with advance notice in the newsletter one (1) month prior to voting.
LIABILITY
Section 1. Personal
Liability. All persons or
corporations extending credit to, contracting with, or having any claim against
the club or its Officers, shall look only to the funds and property of the club
for payment of any such contract or claim for payment of any debt, damage, judgment,
or decree, or any other money that may otherwise become due to payable to them
from the corporation of the Officers, neither the members of the club, the
Officers, present or future, shall be liable personally therefore.
Section 2. Financial
Commitments. No financial
commitments can be made by any member for the Fairbanks Corvette club without
prior approval from a majority of the Officers of expenditures up to $250.00
and club approval for expenditures over $250.00 bye 2/3 of members
present. Any member violating this
restriction will be personally liable for the bill incurred.
The foregoing By-Laws, after being updated and read were approved by the Officers of the Fairbanks Corvette Club for the club membership as being correct as approved by the club.
